Agreement to terms

These Terms of Service ("Terms") govern access to and use of the websites, applications, APIs, and AI-native productivity tools that Appz360 ("Appz360," "we," "us," or "our") makes available for Microsoft 365, including through appz360.com and the Microsoft 365 / AppSource marketplace (together, the "Services").

By creating an account, installing an Appz360 app, or otherwise accessing the Services, you agree to be bound by these Terms on behalf of yourself and, if applicable, the organization you represent ("Customer," "you"). If you do not agree, do not access or use the Services.

Definitions

The Services

Appz360 provides AI-native applications built for Microsoft 365 — including Teams, SharePoint, Outlook, and the Power Platform — that automate workflows such as document processing, approvals, and business operations inside tools your organization already uses.

We may add, change, or discontinue features of the Services at any time. We will provide reasonable notice before discontinuing a feature you materially depend on under a paid Subscription.

Accounts & eligibility

• You must be at least 18 years old and have authority to bind your organization to use the Services on its behalf.
• You are responsible for the accuracy of your account information and for all activity that occurs under your Account.
• You must notify us promptly of any unauthorized access to, or use of, your Account.
• Where the Services are installed via Microsoft 365 tenant admin consent, your tenant administrator represents that they have authority to grant the requested permissions.

Subscriptions, fees & billing

Paid Subscriptions are billed in advance on a monthly or annual basis as selected at checkout or on your Order Form, whether through appz360.com or the Microsoft 365 Marketplace.

• Renewal. Subscriptions renew automatically at the end of each billing period unless cancelled before renewal.
• Price changes. We will give at least 30 days' notice before a price increase takes effect on your next renewal.
• Taxes. Fees are exclusive of applicable taxes, which you are responsible for unless you provide a valid exemption.
• Refunds. Except where required by law or stated in an Order Form, fees are non-refundable once a billing period has started.
• Free trials. Trial terms, if offered, will be disclosed at signup and convert to a paid Subscription unless cancelled before the trial ends.

Your data & content

As between the parties, you own all Customer Data. You grant Appz360 a limited license to host, process, and transmit Customer Data solely to provide, secure, and improve the Services, including operating AI Features you enable.

We will handle personal data in accordance with our Privacy Policy and any Data Processing Agreement made available to enterprise customers. We do not sell Customer Data.

You are responsible for having the necessary rights and consents to submit Customer Data to the Services, including any data accessed from your Microsoft 365 tenant.

Acceptable use

You will not, and will not permit others to:

• Reverse engineer, decompile, or attempt to extract the source code of the Services, except as permitted by law;
• Use the Services to store or transmit malware, or to probe, scan, or test the vulnerability of our systems;
• Use the Services in a way that violates any applicable law, infringes third-party rights, or breaches Microsoft's own terms for the Microsoft 365 platform;
• Resell, sublicense, or provide the Services to third parties outside your organization without our written consent;
• Use automated means to access the Services beyond documented API usage limits.

Microsoft 365 & third-party platforms

The Services are designed to operate within Microsoft 365 and may require permissions granted through Microsoft Entra ID, Microsoft Graph, or the Microsoft 365 Marketplace. Your use of Microsoft's platforms remains governed by Microsoft's own terms, and Appz360 is not responsible for Microsoft's availability, changes, or policies.

Where you install the Services via AppSource, the Microsoft Commercial Marketplace Terms govern the purchase transaction and these Terms govern your use of Appz360's application functionality.

Intellectual property

Appz360 and its licensors retain all right, title, and interest in the Services, including all software, models, designs, and trademarks. Except for the limited rights expressly granted in these Terms, no other rights are granted to you.

You may submit feedback or suggestions about the Services; we may use this feedback without restriction or obligation to you.

AI features & outputs

AI Features generate output based on models that can produce inaccurate, incomplete, or unexpected results. You are responsible for reviewing AI-generated output before relying on it for business, legal, financial, or compliance decisions.

Unless otherwise agreed in writing, Customer Data processed by AI Features is not used to train models shared across other customers.

Confidentiality

Each party will protect the other's non-public business, technical, and financial information ("Confidential Information") using at least the same degree of care it uses for its own confidential information, and will use such information only to perform its obligations under these Terms.

This obligation does not apply to information that is or becomes public through no fault of the receiving party, was independently developed, or is required to be disclosed by law.

Term, suspension & termination

• These Terms remain in effect while you have an active Account or Subscription.
• Either party may terminate for the other party's uncured material breach following 30 days' written notice.
• We may suspend access immediately if we reasonably believe continued access poses a security risk, violates applicable law, or breaches Section 7 (Acceptable Use).
• On termination, your right to access the Services ends; we will make Customer Data available for export for 30 days unless legally prohibited.

Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, Appz360 disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that AI-generated output will be accurate.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising out of or related to these Terms, even if advised of the possibility of such damages.

Each party's total liability arising out of or related to these Terms will not exceed the amount you paid to Appz360 in the 12 months preceding the event giving rise to the claim.

Indemnification

You will defend and indemnify Appz360 against third-party claims arising from your Customer Data, your breach of these Terms, or your violation of applicable law. We will defend and indemnify you against third-party claims that the Services, as provided by us, infringe a third party's intellectual property rights, subject to customary carve-outs for modified or misused Services.

Governing law & disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute not resolved informally within 30 days will be submitted to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, unless the parties agree in writing to arbitration under the Arbitration and Conciliation Act, 1996.

Changes to these terms

We may update these Terms from time to time. If a change is material, we will notify you by email or in-product notice at least 15 days before it takes effect. Continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.
